Instructor Terms of Service

1. Acceptance of Terms

By registering as an instructor, creating content, publishing courses, accepting students, receiving payments, or otherwise using instructor services available through Collabocate, you agree to be legally bound by these Instructor Terms of Service and Membership Agreement.

If you do not agree to these Terms, you may not create, publish, market, or sell courses through the Platform.

2. Independent Instructor Status

All instructors operate independently from Collabocate.

Nothing contained in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, franchise relationship, or similar legal association between Collabocate and any instructor.

Each instructor is solely responsible for:

  • Business operations
  • Tax obligations
  • Licenses and permits
  • Regulatory compliance
  • Professional qualifications
  • Course content
  • Legal obligations arising from their activities

3. Content Ownership and Licensing

Instructors represent and warrant that they own or possess all rights necessary to publish, distribute, display, market, reproduce, and sell any content uploaded to the Platform.

Content may include:

  • Videos
  • Audio recordings
  • Presentations
  • Documents
  • PDFs
  • Worksheets
  • Images
  • Graphics
  • Logos
  • Trademarks
  • Downloadable resources
  • Software demonstrations
  • Quizzes and assessments
  • Educational materials

Prohibited Content

Instructors may not upload content that:

  • Is pirated or unlawfully obtained
  • Infringes copyrights or trademarks
  • Violates licensing agreements
  • Was copied without authorization
  • Violates intellectual property rights

4. Instructor Responsibilities

Instructors are solely responsible for all content, representations, communications, and educational materials provided through the Platform.

Collabocate does not verify ownership of uploaded content and relies upon the representations made by instructors.

5. Content Review and Removal

Collabocate reserves the right, but not the obligation, to review, monitor, restrict, remove, suspend, disable, or otherwise take action regarding any content, course, resource, or account.

Action may be taken when content is believed to:

  • Violate these Terms
  • Violate applicable laws
  • Infringe intellectual property rights
  • Create legal risk
  • Harm users
  • Damage the Platform’s reputation

Content removal decisions remain within the sole discretion of Collabocate.

6. Membership Plans

Instructor membership plans, subscription fees, commissions, earnings calculations, payout schedules, and related financial terms are governed by the Instructor Earnings & Payout Policy.

Current plans may include:

  • Starter Membership
  • Professional Membership
  • Elite Membership

as well as future plans introduced by Collabocate.

7. Fees, Commissions, and Payouts

Instructor earnings, commission structures, payment processing fees, reserves, refunds, chargebacks, taxes, and payout schedules are governed by the Instructor Earnings & Payout Policy.

8. Intellectual Property License

Instructors retain ownership of their original content.

By publishing content through the Platform, instructors grant Collabocate a worldwide, non-exclusive, royalty-free license to:

  • Host content
  • Display content
  • Reproduce content
  • Distribute content
  • Market content
  • Promote content

solely for purposes related to operating, maintaining, and marketing the Platform.

This license remains effective while content remains available through the Platform.

9. Suspension and Termination

Collabocate may suspend, restrict, or permanently terminate instructor accounts for reasons including:

  • Violation of these Terms
  • Fraudulent activity
  • Intellectual property violations
  • Payment abuse
  • Illegal conduct
  • Harmful conduct toward users or the Platform

Termination may occur without prior notice when necessary to protect users, the Platform, or third parties.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Collabocate shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from Platform use.

11. Indemnification

Instructors agree to defend, indemnify, and hold harmless Collabocate, its affiliates, officers, directors, employees, contractors, successors, and assigns from any claims, liabilities, losses, damages, judgments, settlements, costs, and legal expenses arising from:

  • Instructor content
  • Instructor conduct
  • Intellectual property disputes
  • Regulatory violations
  • Breach of these Terms

12. Modifications

Collabocate reserves the right to update or modify these Terms at any time.

Continued use of the Platform following publication of updated Terms constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and interpreted according to the laws applicable in the jurisdiction in which Collabocate operates.
